These Terms of Service constitute a legally binding agreement between you and HK WORKS LLC regarding your use of our website and services. By accessing or using our services, you agree to be bound by these terms. If you do not agree with these terms, please do not use our services.

Services Description

HK WORKS LLC provides professional computer systems design and related technical services, including but not limited to computer integrated systems design, professional technical consulting, scientific research and development, specialized system architecture, and enterprise solutions engineering.

Intellectual Property Rights

Client Property

You retain all rights to any materials, data, or content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of providing our services to you.

Work Product

Unless otherwise agreed in writing, all work product created by HK WORKS LLC in the course of providing services shall be owned by the client upon full payment of all fees, subject to our right to retain and use general knowledge, skills, and experience gained.

Engagement Terms

Specific terms for professional services will be outlined in separate service agreements or statements of work. These Terms of Service supplement but do not replace such agreements.

Fees and Payment

Fees for our services will be specified in your service agreement. Payment terms, including due dates and accepted payment methods, will be outlined in your invoice. Late payments may be subject to interest charges and may result in suspension of services.

Refunds

Refund policies will be specified in your service agreement. Generally, fees for completed work are non-refundable.

Confidentiality

We understand the sensitive nature of business information. We agree to maintain the confidentiality of any proprietary or confidential information shared with us during the course of our engagement, except as required by law or with your consent.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is limited to a period of 90 days from service delivery unless otherwise specified in your service agreement.

Disclaimer

Except as expressly stated in your service agreement, our services are provided on an as-is basis. We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, HK WORKS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code that may be transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Our total liability to you for all claims arising from or related to our services shall not exceed the amount paid by you to us for services during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless HK WORKS LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms.

Term and Termination

Effect of Termination

Arbitration

Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property disputes.

Jurisdiction

You agree to submit to the personal jurisdiction of the state and federal courts located in Riverside County, California for any actions not subject to arbitration.

General Provisions

Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and HK WORKS LLC regarding our services and supersede all prior agreements and understandings.
